ONDA Terms and Conditions

These Terms and Conditions (the “Terms”) govern your use of the website  www.stayonda.com (the “Platform”) and the services offered by Dos Conejos, Inc. and its affiliated local operators (collectively, “Service Providers,” “ONDA,” “we,” “us,” or “our”). By completing a booking on the Platform, you agree to these Terms.

A1. Definitions

Entities

  • Dos Conejos, Inc. (“DC”): A Delaware corporation, EIN 86-2101318, which owns and operates the Platform and provides digital intermediation, payment processing, and booking services from the United States.
  • ONDA PA, S.A.: A Panamanian corporation, RUC 155772808-2-2025, which owns and operates lodging facilities in the Republic of Panama.
  • ONDA CR Limitada: A Costa Rican limited liability company, Cédula Jurídica 3-102-813718, which owns and operates lodging facilities in the Republic of Costa Rica.
  • Service Provider: Any ONDA-affiliated entity that owns or operates an accommodation available for booking through the Platform.

Terms

  • Booker: The individual making the reservation. Other individuals staying under the same reservation are considered accompanying guests.
  • Booking Fee: The non-refundable portion (typically 20%) of the total payment retained by DC as consideration for the use of its platform, booking engine, payment processing, and intellectual property. This fee is a U.S.-based digital service fee and not a charge for lodging.
  • Accommodation Fee: The portion (typically 80%) of the payment representing the lodging service rendered by the Service Provider in its respective jurisdiction.
  • Travel Experience: The accommodation, hospitality, or related service provided by the Service Provider.

A2. About These Terms

  • When you complete your Booking, you accept these Terms and any other ones that you’re provided with during the booking process. These Terms include an agreement to mandatory, binding individual arbitration (see A14 below).
  • If anything in these Terms is (or becomes) invalid or unenforceable, it will still be enforced to the fullest extent permitted by law, and you will still be bound by everything else.
  • The English version of these Terms is the original. In any discrepancy, the English version prevails.

A3. OTA Relationships and About  www.stayonda.com

  • When you book accommodation through www.stayonda.com or any ONDA booking engine, Dos Conejos, Inc., a Delaware corporation, provides and is responsible for the Platform, but not the lodging service.
  • Lodging and related services are provided by independent Service Providers, including ONDA PA, S.A. in Panama and ONDA CR Limitada in Costa Rica.
  • Dos Conejos, Inc. also contracts with other online travel agencies (OTAs) such as Booking.com, Hostelworld, and Airbnb on behalf of the Service Providers. For bookings made through these third-party OTAs, Dos Conejos, Inc. acts as the contractual intermediary and retains a Booking Fee for its services, consistent with the definitions and allocations outlined in these Terms. This Booking Fee is processed and recognized in the United States and is not subject to local taxation in the Service Provider’s jurisdiction.
  • Each booking made through the Platform constitutes two distinct transactions: (1) a Booking Fee paid directly to Dos Conejos, Inc. for the use of its digital platform and payment processing services; and (2) an Accommodation Fee paid to the relevant Service Provider for the lodging service. These transactions are independent, and each entity is solely responsible for its respective service.

A4. Group Sales

  • The Platform is for individual and small group bookings where the Booker is a member of the party who will check in and can present the payment card in person.
  • Group Sales Reservations (more than 4 rooms, more than 10 people, or made on behalf of others) must be made through ONDA’s Group Sales team and are subject to separate terms.
  • Any booking determined at ONDA’s sole discretion to be a Group Sales Reservation is subject to cancellation at any time.

A5. Our Platform

  • We take reasonable care in providing our Platform, but we can’t guarantee that everything on it is accurate. We’re not liable for errors or omissions but will correct them as soon as possible.
  • Our Platform does not constitute a recommendation or endorsement of any Service Provider.
  • ONDA is not a party to the lodging contract. The Service Provider is solely responsible for the Travel Experience.
  • The Booker must be at least 18 years old to use the Platform.

A6. Prices and Payments

  • Stored Payment Information: By booking through the Platform or any OTA contracted by Dos Conejos, Inc., the Booker consents to the secure storage and tokenization of their payment method by our third-party processor (e.g., Stripe) for use in processing current and future reservations, in accordance with applicable data protection laws.
  • Communication Consent: By making a Booking, the Booker consents to receiving SMS, text, and/or WhatsApp messages from ONDA and its Service Providers regarding the reservation, check-in details, and promotional communications, subject to the right to opt out at any time.
  • When you make a Booking, you agree to pay the full cost of the Travel Experience, including taxes and fees.
  • Obvious errors and misprints (e.g., a $1 luxury suite) are not binding; such Bookings will be canceled and refunded.
  • Payments are processed by Stripe on behalf of Dos Conejos, Inc. in the United States in USD.
  • The total payment is allocated as follows:
    • 20% Booking Fee retained by Dos Conejos, Inc. for platform, technology, and digital services (U.S.-sourced, not subject to local lodging tax).
    • 80% Accommodation Fee remitted to the Service Provider for the actual lodging service.
    • If applicable, Service Providers issue an electronic invoice for the Accommodation Fee only.
  • No Booking Fee is charged for in-person or telephone reservations made directly with a Service Provider in Panama or Costa Rica.
  • Rate Structure and Pricing Transparency: Rates displayed on the Platform are typically offered at a significant discount relative to the Service Providers’ standard in-person or telephone booking rates. This reflects the additional administrative costs associated with processing in-person and telephonic reservations. As a result, rates available through the Platform may vary materially from those displayed or offered when booking directly with our Service Providers.
  • Payment and Cancellation Rules: Each booking is subject to the specific payment and cancellation terms of the selected rate or fare at the time of booking. Where a rate specifies deposit, prepayment, or cancellation conditions, those rate rules govern. In the absence of explicit rate rules, all payments are non-refundable once charged.
  • As described in A3, each booking represents two distinct transactions — one for the Booking Fee with Dos Conejos, Inc. and another for the Accommodation Fee with the respective Service Provider — and the pricing and payment terms herein apply to both components.

A7. Cancellations and Refunds

  • Discretionary Cancellations: ONDA or any Service Provider may cancel any reservation at their exclusive discretion for reasons including safety, overbooking, or force majeure.
  • Refund: The Booker will receive a refund limited to the total amount paid. Refunds are processed through the same payment method used to make the booking.
  • No Damages: The Booker is not entitled to any further compensation, damages, or consequential loss in the event of an ONDA-initiated cancellation.
  • Booker-Initiated Cancellations: Unless otherwise stated in the fare or rate rules, cancellations are non-refundable.

A8. Service Provider Policies

  • Policies regarding age limits, pet allowances, community fees, and property-specific terms vary by location. Bookers are encouraged to review the Property-Specific Policies outlined in Appendix A for details applicable to their booked property.
  • The Booker must notify Service Providers if arriving late. ONDA and Service Providers are not responsible for missed check-ins.
  • The Booker is responsible for the actions and conduct of all accompanying guests under the same reservation.
  • Service Providers may charge additional fees, including a 1% Community Improvement Fund contribution.
  • Tabs and incidentals must be closed at checkout; overdue balances accrue a $50 per business day fee.
  • The Booker will be charged for damages, including (but not limited to) smoking, glass in pools, or soiled linens.

A9. Recording and Model Release

  • For the safety and security of Bookers, guests, and employees, Service Providers employ on-site audio and video recording devices in public and common areas. By making a Booking, you consent to being recorded while on property in any jurisdiction where such consent is required by law.
  • Calls made using any landline telephone located at any ONDA property may be recorded for safety, security, or quality assurance purposes.
  • Additionally, all phone calls made to or from any ONDA location, customer service line, or booking/reservations line may be recorded and monitored for quality assurance, training, and verification purposes. By initiating or receiving a call, you consent to such recording and monitoring.
  • These recordings are stored securely and may be retained for as long as necessary for operational, legal, or compliance reasons.
  • By agreeing to these Terms, you grant ONDA and its affiliates irrevocable rights to use and publish photos, audio, or video in which you appear for promotional, operational, or safety purposes, without restriction and without further approval or compensation.

A10. Behavior and Misconduct

  • ONDA may cancel bookings or restrict Platform access for fraud, abuse, or unlawful behavior.
  • Cancelled bookings for misconduct are non-refundable.

A11. Communications and Data Handling

  • Stored Payment Information: The Booker consents to the secure storage and tokenization of their payment method by our third-party processor (e.g., Stripe) for use in processing current and future reservations, in accordance with applicable data protection laws.
  • SMS, Text, and WhatsApp Messaging: By making a Booking, the Booker consents to receiving transactional and promotional messages from ONDA and its Service Providers related to reservations, check-in instructions, stay updates, and relevant offers. The Booker may opt out at any time using the provided communication channels.
  • Recording of Calls and Communications: Calls made using any ONDA landline or to any ONDA property, reservations line, or customer support line may be recorded and monitored for safety, training, and quality assurance. By making or receiving such calls, the Booker consents to this recording.
  • Use of Images and Media: The Booker grants ONDA and its affiliates irrevocable rights to use photographs, video, or audio recordings taken during their stay for marketing, editorial, or operational purposes, without additional approval or compensation.
  • Data Security and Retention: Personal and payment data are stored and processed securely, retained only as long as necessary for legal, operational, or compliance reasons.

A12. Liability

  • Nothing limits ONDA’s or a Service Provider’s liability for fraud, willful misconduct, or gross negligence.
  • Except as required by law, ONDA is not liable for indirect or consequential losses.
  • Total liability is capped at the booking cost.

A13. Taxes and Invoicing

  • Booking Fees (retained by Dos Conejos, Inc.) are U.S.-sourced and not subject to Panamanian or Costa Rican VAT.
  • Accommodation Fees are taxable in the local jurisdiction (10% ITBMS in Panama, 13% VAT in Costa Rica).
  • Facturas or electronic invoices are issued by the local Service Provider for Accommodation Fees only.

A14. Arbitration and Governing Law

  • Good Faith Resolution Period: Before initiating any arbitration proceeding, the Booker must first attempt to resolve any dispute or claim directly with ONDA by submitting the issue in writing to legal@stayonda.com and allowing a sixty (60) day period for ONDA to respond and attempt resolution. Only after this period has elapsed without satisfactory resolution may arbitration be initiated.
  • Arbitration Requirement: Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any Travel Experience shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. Arbitration will take place in Delaware, USA, or remotely as permitted by the AAA.
  • Class Action Waiver: All claims must be brought in the parties’ individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.
  • Governing Law: These Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
  • Judicial Forum for Non-Arbitrable Claims: If any claim is deemed not subject to arbitration, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

Appendix A: Property-Specific Policies

ONDA Playa Grande (Playa Grande, Costa Rica)

  • Adults Only: Bookers and accompanying guests must be 18 years or older. Arrivals with minors will be refused without refund.
  • Pets: Allowed in approved room types only, subject to a pet fee and potential damage charges.
  • Taxes: 13% VAT applies to lodging and eligible services.

ONDA Boquete (Boquete, Panama)

  • Family Friendly: Children are welcome, subject to room occupancy limits.
  • Pets: Not permitted.
  • Taxes: 10% ITBMS applies to lodging and eligible services.
  • Platform-Exclusive Discounts and Senior Citizen Rates: In compliance with Panama’s Ley No. 6 de 1987, Service Providers display their regular rates publicly at their physical establishments. The senior citizen discounts required under Panamanian law apply only to these publicly displayed regular rates. Because Platform rates are already significantly discounted and offered as special promotions, they are not considered regular rates for purposes of calculating or applying senior citizen discounts. Bookers wishing to claim a senior citizen discount must book in person at the Service Provider’s physical location and pay the regular, displayed rate. Online bookings through the Platform are not eligible for senior citizen discounts.

Pension Santa Elena (Santa Elena, Costa Rica)

  • Family Friendly: Children are welcome, subject to room occupancy limits.
  • Pets: Allowed in approved room types only, subject to a pet fee and potential damage charges.
  • Taxes: 13% VAT applies to lodging and eligible services.
